By accessing our website, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

These Terms and Conditions constitute a legally binding agreement between you and SWAT governing your access to and use of the SWAT platform, including our website, dashboard, APIs, warehouse management system (WMS), order management system (OMS), and all related services. By creating an account or using any SWAT service, you acknowledge that you have read, understood, and agree to be bound by these terms.

You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or the organization you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

What services does SWAT provide?

SWAT provides an AI-powered warehouse network platform that includes warehouse management (WMS), order management (OMS), decision support (DSS), SWAT Cloud infrastructure, API integrations, and access to a distributed fulfillment network. The specific services available to you depend on your subscription plan and program enrollment.

We strive to maintain platform availability of 99.9% uptime, excluding scheduled maintenance windows. However, SWAT does not guarantee uninterrupted or error-free operation of the platform. We reserve the right to modify, suspend, or discontinue any feature or service with reasonable notice to affected users.

Service level agreements (SLAs) for warehouse operations, order processing times, and fulfillment accuracy are defined in your individual service contract. SWAT is not responsible for delays or failures caused by factors outside our reasonable control, including carrier delays, customs processing, or force majeure events.

What are your obligations?

You agree to use the SWAT platform only for lawful business purposes related to warehouse management, order fulfillment, and supply chain operations. You must provide accurate and complete information when creating your account and keep your information up to date throughout the duration of your use.

You shall not: attempt to reverse engineer, decompile, or disassemble any part of the SWAT platform or its AI algorithms; access or attempt to access accounts, systems, or data that you are not authorized to use; use automated tools to scrape, crawl, or extract data from the platform beyond authorized API usage; or resell, sublicense, or redistribute SWAT services without prior written consent.

You are solely responsible for the content, data, and materials you upload or transmit through the SWAT platform, including inventory data, product information, and shipping details. You must ensure that your use of the platform complies with all applicable laws, regulations, and industry standards in your jurisdiction.

Who owns the intellectual property?

All intellectual property rights in the SWAT platform, including software, AI models, algorithms, trademarks, logos, documentation, and user interface designs, are owned exclusively by SWAT or its licensors. Your subscription grants you a limited right to use the platform but does not transfer any ownership rights. You retain full ownership of your operational data, including inventory records, order data, and business information that you input into the platform.

How can this agreement be terminated?

Either party may terminate this agreement by providing 30 days written notice. SWAT may immediately suspend or terminate your access if you breach these terms, engage in prohibited activities, or fail to pay applicable fees. Upon termination, you will retain access to export your data for 30 days, after which SWAT may delete your account data in accordance with our data retention policy. Prepaid fees for unused service periods may be refunded on a pro-rata basis at SWAT's discretion.

What are the limitations of liability?

The SWAT platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SWAT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. SWAT's total liability for any claims arising from your use of the platform shall not exceed the fees you paid to SWAT in the twelve months preceding the claim. Neither party shall be liable for indirect, incidental, special, or consequential damages.
